Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Clinogistic clinical operations platform ("Platform") operated by Clinologics LLC ("Company," "we," "us"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Platform Description

Clinogistic is a software-as-a-service (SaaS) clinical operations platform designed for wellness and optimization clinics. The Platform includes tools for patient management, scheduling, prescriptions, lab ordering, clinical documentation, point-of-sale, and related functions.

2. Eligibility and Authorized Use

The Platform is intended for use by licensed healthcare clinics and their authorized staff. By using the Platform, you represent that:

• You are operating a lawfully licensed healthcare or wellness clinic
• All staff accessing the Platform are authorized by your clinic
• You will use the Platform in compliance with all applicable laws and regulations
• You will not use the Platform to provide unauthorized medical advice

3. HIPAA Compliance

Clinics using the Platform to store or process protected health information (PHI) must execute a Business Associate Agreement (BAA) with Clinologics LLC prior to entering real patient data. The Platform is designed with HIPAA compliance in mind; however, the clinic remains the Covered Entity and is responsible for its own HIPAA compliance obligations.

4. SMS Messaging Terms

By using the Platform's SMS features, the clinic agrees to:

• Obtain proper consent from patients before sending SMS messages on their behalf
• Honor opt-out requests immediately upon receipt of STOP replies
• Use SMS features only for permitted purposes: appointment reminders, care notifications, receipts, and renewal reminders
• Comply with the TCPA, CTIA guidelines, and applicable carrier requirements
• Not use SMS features for unsolicited marketing or spam

Message and data rates may apply to recipients. Message frequency varies. For support: hello@clinogistic.com. To opt out: reply STOP.

5. Payment and Billing

Platform access is billed on a monthly subscription basis. Payment processing for clinic transactions is facilitated through Stripe Connect. By connecting a payment account, clinics agree to Stripe's Terms of Service. Clinogistic may charge a platform facilitation fee on transactions processed through the Platform.

6. Data Ownership

All patient data entered into the Platform belongs to the clinic. Clinogistic processes data only as a service provider. Upon termination, clinics may request an export of their data. We will retain data for 90 days after termination before deletion unless a longer retention period is required by law.

7. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose
• Attempt to reverse engineer, copy, or distribute the Platform
• Share login credentials between multiple unauthorized users
• Use the Platform to store data for patients of clinics not licensed on the Platform
• Interfere with the Platform's operation or security

8. Disclaimers

The Platform is provided as a clinical operations tool and does not constitute medical advice. Clinical decisions remain the sole responsibility of licensed healthcare providers. Clinogistic is not liable for clinical outcomes resulting from use of the Platform.

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, CLINOLOGICS LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CLINOLOGICS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

10. Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by email to registered clinic accounts. Continued use of the Platform after such changes constitutes acceptance of the updated Terms.

11. Governing Law

These Terms are governed by the laws of the State of Colorado, without regard to its conflict of law provisions.
